Contracts Manager

Job Description The successful candidate will be a commercially focused and operationally experienced individual who can provide the day to day legal support across the Group. Key to success will be the ability to distinguish between “nice to have” and “essential” when it comes to suggestions for contract amendments. The role works closely with the Executive Vice President Operations, Acteon Company Managing Directors, their project teams, and local contract managers to identify, understand, quantify and mitigate Group business exposure. This is a role for someone who is a strong analytical/critical thinker with the independence, initiative and confidence to support Acteon’s Companies in review, negotiation tactics (including onsite support at client meetings), implementation and management of all contract matters. The role will also provide support to Acteon Companies relating to operational disputes and claims as well as Compliance Regulation (primarily Anti-Bribery and Corruption). Specifically, the role will:
  • Provide contractual support to Acteon’s operating companies, providing the Operating Company with clear, succinct and timely commentary focusing on the deal breakers. Areas of focus include, but are not limited to the review, qualification and negotiation of terms and conditions of:
    • All commercial contracts to identify both commercial and contractual risk
    • Financial instruments
    • Non-disclosure Agreements,
    • Memorandums of Understanding and Letters of Intent
  • Liaise with the Group Risk Management & Insurance Coordinator to ensure alignment between contract provisions and existing global policies
  • When necessary, work with Acteon Companies on face to face negotiations with clients, ensuring that Acteon Group’s interests are always appropriately represented and best served
  • Where needed, provide timely guidance and support for the resolution of contractual and commercial disputes with clients
  • Develop and apply a “best practice” approach to contract management across the Acteon Group, implementing company contractual policies and procedures
  • Highlight key contractual risks at both the Company and Group level, reporting key findings and trends to the Group General Counsel and Executive Vice President Operations and suggested subsequent action plans
  • Training of personnel on contractual and compliance matters
  • Ad hoc advice to operating companies
Required Skills
  • Degree qualified, with relevant postgraduate qualification preferred
  • Four or more years’ experience with a highly-regarded team focusing on the commercial, energy (particularly offshore oil and gas), construction or corporate legal practice areas. Candidates with a range of experience across these areas particularly welcome
  • Previous experience of working in-house in an energy or infrastructure environment would be favourable, but not essential
  • Demonstrable track record of successfully delivering in a senior contracts role within the oil and gas sector or similar industry
  • In-depth knowledge of North Sea contracting (e.g. LOGIC) or similar contracts; experience of BIMCO or other charter party agreements would also be desirable
  • Experience, or good understanding, of the complexities of operating in an international Group
  • A willingness to travel frequently within the UK, Ireland and internationally as required
